1. Overview

Nexus Engine ("we," "our," "us") is an AI-powered autonomous marketing and commerce platform. The platform is a multi-tenant SaaS service that enables businesses to automate content creation, social media publishing, and commerce workflows. By accessing or using our services at nexusengine.nexus, you agree to be bound by these Terms of Service.

2. Platform Services

Nexus Engine provides the following services across multiple product verticals:

• AI-generated marketing copy, captions, and product descriptions
• Media processing — image optimization, audio narration, and AI video generation
• Automated social media content scheduling and publishing (TikTok, X/Twitter)
• Branded product pages with integrated commerce
• Payment processing via Stripe Connect marketplace
• Analytics and attribution tracking
• Autonomous recovery and re-engagement workflows

3. AI-Generated Content Disclosure

Content produced through Nexus Engine is generated or assisted by artificial intelligence. Specifically:

• Marketing copy and captions are generated using Google Gemini AI
• Audio narrations are produced via Amazon Polly and/or ElevenLabs text-to-speech
• Videos may be generated using AI video services including Veo, Runway ML, and Luma AI

AI-generated content is created based on your inputs, media, and configured brand voice. You are responsible for reviewing all content before it is published on your behalf.

4. User Accounts and Tenancy

Each business operates within an isolated tenant environment with its own data, brand configuration, social media credentials, and payment account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

5. User Content

Content you upload to the platform (media, product information, brand assets) remains your property. AI-generated content produced from your inputs is licensed to you for your use. We do not claim ownership of user-uploaded or user-directed content.

6. Social Media Publishing

When you authorize Nexus Engine to publish content on your behalf to social media platforms (such as TikTok or X/Twitter), you agree to comply with those platforms' respective terms of service. We act as your authorized agent, publishing content you have directed and approved.

6.1 TikTok Integration

Nexus Engine integrates with TikTok via the Content Posting API using the OAuth 2.0 authorization framework. When you connect your TikTok account:

• We do NOT store your TikTok password at any time
• We retain only the Access Token and Refresh Token issued by TikTok through the OAuth 2.0 flow
• These tokens are used solely to publish content to your TikTok account as directed by you
• Tokens are stored encrypted using AWS Systems Manager Parameter Store
• You may revoke access at any time through your TikTok account settings or by contacting us

7. Payment Processing — Stripe Connect

Nexus Engine operates as a marketplace using Stripe Connect. Each tenant receives a connected Stripe account for payment processing. By using our commerce features:

• Payments from your customers are processed through Stripe and routed to your connected account
• A platform fee is collected by Nexus Engine on each transaction (configurable per tenant)
• You agree to Stripe's Connected Account Agreement
• Refunds, disputes, and payouts are managed through the platform with full transparency

8. Prohibited Uses

You may not use Nexus Engine to publish content that is unlawful, defamatory, infringing, or violates any third-party rights. You may not attempt to reverse-engineer the platform, circumvent security measures, or use the service to distribute spam or misleading content.

9. Limitation of Liability

The platform is provided "as is" without warranties of any kind, express or implied. Nexus Engine is not liable for any indirect, incidental, or consequential damages arising from your use of the service, including but not limited to content published to third-party platforms, payment processing issues, or AI-generated content accuracy.

10. Termination

We may suspend or terminate your access to the platform if you violate these terms. You may terminate your account at any time by contacting us. Upon termination, your data will be handled in accordance with our Privacy Policy.

11. Changes to Terms

We may update these terms from time to time. Continued use of the platform after changes constitutes acceptance of the revised terms. We will make reasonable efforts to notify active tenants of material changes.

12. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction.
